These Terms of Use (along with our Privacy Policy and Catering Terms and Conditions) govern your use of www.feeds.sg and any other websites, mobile sites or apps owned or operated by WuBrothers Pte. Ltd. and/or affiliated entities ("feeds," "we," "us," or "our").

By using our site, you confirm your acceptance of these Terms of Use and agree to be legally bound by them. Every time you use our site, you re-confirm your acceptance of the latest version of these Terms. If you do not agree with these Terms of Use, you must stop using our site.

2. Other Relevant Terms

These Terms of Use include our Privacy Policy, which governs how we process any personal data you provide. By using our site, you consent to this processing and confirm that any data you provide is accurate and up to date.

If you place a catering order through our site, our Customer Terms and Conditions will also apply.

We may update or change these Terms of Use at any time by updating this page. The updated Terms will become effective immediately upon being posted. By continuing to use our site after changes are posted, you accept the updated Terms.

4. Changes to Our Site

We may modify, suspend or discontinue all or part of our site at any time, with or without prior notice. We will not be liable for any changes, suspensions or discontinuations of our site or services. Some content may be out of date and we are not obligated to update it.

5. Site Description and Limitation of Liability

Our site provides a technology platform and related services to help you search, choose and order food/drinks for delivery or pick-up.

We are not a caterer, restaurant or food provider ("Merchant"). The Merchants available on our site are independent businesses and we are not responsible for their compliance with applicable laws or regulations. For certain orders, we rely on third-party delivery services ("Deliverers"), who are also independent from us.

We do not verify or guarantee the quality or legality of any Merchant's food, products or services, or the services provided by any Deliverer. You agree that we are not liable for any issues arising from the actions or omissions of Merchants or Deliverers.

6. Eligibility

To use our site, you must be at least 18 years old and represent that neither you nor any organisation you represent has been banned or removed from our site. You must also have the legal capacity to agree to these Terms of Use.

7. Our Site and Services

We may offer one or more of the following services through our site:

1. Catering ordering platform — to order food, drinks or related services. All orders are subject to acceptance by us. 2. Access to information, news and content related to our Merchants and others. 3. Search and filtering tools. 4. Advertising and branding services for Merchants and vendors. 5. Social networking features. 6. Email notifications and alerts. 7. Any other services we may offer at our discretion.

8. Access to Our Site

We do not guarantee that our site, its content or Services will always be available or uninterrupted. We may temporarily suspend or modify access at any time without notice.

Our site is intended for users in Singapore. We do not guarantee that content is appropriate or available outside of Singapore. If you access our site from outside Singapore, you do so at your own risk.

9. Your Account and Password

To use certain services, you may need to create an account. You agree to provide accurate, complete and up-to-date information during registration and not to impersonate anyone or misrepresent your identity.

You are responsible for keeping your password and account information confidential and for all activity that occurs under your account. Do not share your account details with third parties. If you believe your account has been compromised, contact us immediately at enquiries@feeds.sg.

You agree to indemnify and hold harmless WuBrothers Pte. Ltd. from any claims, damages or costs arising from someone using your account due to your failure to protect your login information.

By providing your personal information during registration, you consent to us using and disclosing this data for purposes including: responding to queries, providing Services, verifying your details, communicating with you, enforcing these Terms, conducting marketing research, sending marketing materials, and complying with legal and regulatory requirements.

You may opt out of certain communications by following the unsubscribe instructions provided, but note that opting out may affect your use of our site.

11. Viruses

We do not guarantee that our site is free from viruses or other harmful technology. You are responsible for configuring your devices to protect against viruses and must not knowingly introduce malicious software onto our site. You must not attempt to gain unauthorised access to our site, server or connected systems.

12. Linking to Our Site

Our site may contain third-party content, links or services. We do not control or endorse these third-party sites and are not responsible for their availability, accuracy or business practices. Your use of these third-party resources will be governed by their own terms and policies.

14. Prohibited Uses

You agree to use our site only for lawful purposes and must not:

1. Violate any laws or regulations. 2. Engage in fraudulent or harmful activities. 3. Post illegal or offensive material. 4. Send spam or unsolicited promotional materials. 5. Introduce viruses or harmful software. 6. Infringe on third-party intellectual property rights. 7. Engage in cyber-bullying or harmful behaviour. 8. Harvest personal data without consent.

We reserve the right to take legal action against anyone violating these terms.

15. Payments

All prices displayed on the site are in SGD and are subject to change. The price for your order will be confirmed at checkout, including any applicable taxes, fees or delivery charges.

You authorise charges for orders to be applied to the payment method you choose. You agree to provide accurate payment information.

We reserve the right to charge you the full order amount if you or your designated person is not at the delivery location when the order is delivered, or if you fail to pick up a self-collection order.

Payments are final and non-refundable. Promotional credits or discounts may expire and cannot be exchanged for cash.

16. Warranties

Our site and its content are provided on an "as is" basis. To the fullest extent permitted by law, WuBrothers Pte. Ltd. and each of its officers, employees, agents, representatives and service providers disclaim all warranties, either express or implied, statutory or otherwise.

We do not assess or guarantee the quality, suitability, legality, safety or ability of Merchants, Deliverers or other third party providers. We rely on Merchants to provide accurate caloric, allergen and dietary information. You agree that the entire risk arising out of your use of our site and any Service or product requested through our site remains solely with you, to the maximum extent permitted under applicable law.

17. Limitation of Liability

Nothing in these Terms excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation.

To the fullest extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our Services or site, whether express or implied.

We will not be liable to any user for any loss or damage, whether in contract, tort, breach of statutory duty or otherwise, arising under or in connection with use of, or inability to use, our site or Services, or reliance on any content displayed on our site.

18. Indemnification

You agree to indemnify, defend and hold WuBrothers Pte. Ltd., each of the other feeds Entities, and each of their officers, employees, agents, representatives and service providers harmless from and against any and all claims, damages, losses, costs and liabilities arising out of or in connection with: (a) your breach of these Terms of Use, our Privacy Policy and/or Customer Terms; (b) your use of our site or any Service; (c) your violation of any rights of another person or entity; (d) your breach of any statutory requirement, duty, law or regulation; or (e) your submission or posting of content to our site.

19. Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in our site and the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You must not use any part of the content on our site for commercial purposes without obtaining a licence from us or our licensors.

20. Trademarks and Copyright

All trademarks, logos and service marks are owned by WuBrothers Pte. Ltd. or third parties and cannot be used without permission. Copyrighted materials cannot be reproduced, distributed or used without authorisation.

21. Suspension and Termination

We have the right to terminate your account and access to our site for any reason, including if we consider your use to be unacceptable, or in the event of any breach of these Terms of Use. We may, but are under no obligation to, provide you with a warning prior to termination.

Failure to comply with our policies constitutes a material breach of these Terms and may result in: immediate or permanent withdrawal of your right to use our site; removal of any content uploaded by you; issue of a warning; legal proceedings for reimbursement of costs resulting from the breach; further legal action; and/or disclosure to law enforcement authorities.

22. No Partnership

These Terms do not create a partnership, agency or joint venture between you and feeds.

23. No Third-Party Rights

Only the parties to the agreement (you and feeds) have rights under these Terms, unless explicitly stated otherwise.

24. Waiver

No waiver of any rights or remedies by us shall be effective unless made in writing and signed by one of our authorised representatives. A failure by us to exercise or enforce any rights conferred upon us by these Terms shall not be deemed a waiver or bar the exercise thereof at any subsequent time.

25. Entire Agreement

These Terms of Use (including our Privacy Policy, Customer Terms and Conditions and all other terms incorporated herein) constitute the entire agreement between you and us, and take precedence over any prior agreements relating to our site.

You irrevocably agree that the courts of Singapore shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Use or their subject matter or formation (including non-contractual disputes or claims).
